Terms of Service

Last updated: 30 October 2026

These Terms of Service ("terms") are a contract between Holmes AI Inc. ("Holmes", "we", "us") and the business that uses Holmes ("you"). If you accept them for a company, you confirm that you have authority to bind it. You accept these terms when you create an account, accept them in Holmes, or use Holmes.

If your company and Holmes have signed an order form or another written agreement for Holmes, that agreement governs where it conflicts with these terms.

Holmes AI Inc., a Delaware corporation, 4101 Dublin Blvd Ste F #1066, Dublin, CA 94568, United States. Email: support@holmesops.ai. Privacy: legal@holmesops.ai.

1. Holmes

1.1 What Holmes is. Holmes is procurement intelligence software for businesses. It helps you understand your contracts, suppliers, spend, bills and prices, and act on them. Holmes runs at https://holmesprocure.com and https://ask.holmesops.ai, in Slack and Microsoft Teams, through the Holmes API, and as tools in other AI assistants you connect to it. Enola, a version of Holmes for small and medium-sized companies, runs at https://enola.holmesops.ai and in Slack. In these terms, "Holmes" means all of these, Enola included, and our website, https://www.holmesops.ai.

1.2 No professional advice. Holmes gives information to support buying decisions. It is not legal, tax, accounting, financial or investment advice. Using Holmes does not create a lawyer-client or any other professional relationship. You decide what to do with what Holmes tells you. You do not need to work with a lawyer to use Holmes, but you should get professional advice when a decision needs it.

1.3 Business use only. Holmes is for businesses. You may use it only for your company's internal business purposes. You may sign up with a personal email address, for example as a sole proprietor, but only to use Holmes for a business. Everyone who uses Holmes must be at least 18 years old.

1.4 Changes to Holmes. We improve Holmes often. We may add, change or remove features. If we remove a major feature of a plan you have paid for, we will tell you before we do it.

1.5 Trials, free credits and preview features. We may offer free trials, free credits, or features marked as preview or beta. We offer them as they are. We may change or end them at any time, and they may not work as well as other features.

2. Accounts and workspaces

2.1 Workspaces. Your company uses Holmes in a workspace. Workspace admins invite members, connect tools, set permissions, create API keys and manage billing.

2.2 Accurate information. Give us accurate account information and keep it up to date.

2.3 Keeping access safe. Keep passwords, API keys and other access details secret. Each login is for one person. Tell us at once, at support@holmesops.ai, if you think someone has used your access without permission. You are responsible for everything done through your workspace's logins and keys.

2.4 Your members. You are responsible for your members' use of Holmes and for their following these terms.

2.5 API keys and other AI assistants. An API key can read your workspace's data only if a workspace admin allows it. When a member uses Holmes from another AI assistant, such as Microsoft 365 Copilot, ChatGPT or Claude, Holmes sends that assistant what the member asks for. That assistant's provider handles it under your company's terms with that provider.

3. Connected tools

3.1 Connecting a tool. You may connect tools your company uses to Holmes, such as mailboxes, file drives, calendars, Microsoft Teams, bank and card accounts, and accounting (for example QuickBooks Online), ERP, procurement, spend, HR and e-signature tools. You confirm that you are allowed to connect each tool and to let Holmes read the data in it, including information about other people. You also confirm that you have given any notice, and obtained any consent, that the law requires for this.

3.2 How Holmes uses what it reads. When you connect a tool, you authorize Holmes to read data from it for you, as your agent, to provide the features you use. Holmes uses what it reads only as our Privacy Policy and the connection screen describe. It does not sell that data, use it for advertising, show it to other customers or use it to train AI models.

3.3 Read-only, except payment requests you allow. Holmes reads from connected tools. It does not send, change or delete anything in them, with one exception. If a workspace admin connects a payment tool (BILL, Brex, Mercury or Ramp) with permission to pay, Holmes may submit a payment request in that tool for a bill your company approved in Holmes. That tool's own approvals and controls still apply. Holmes does not hold, move or transmit money itself. It is not a bank, a payment processor or a money transmitter. You are responsible for checking each payment before you approve it. If a supplier's bank details change, Holmes may flag the change and hold payments to that supplier until an admin confirms it by phone. These checks help, but they cannot catch every fraud, and they do not make us responsible for a payment you approve.

3.4 Each tool's own terms. Your use of each tool stays under that tool's own terms, for example Google's, Microsoft's, Intuit's, Plaid's or DocuSign's. Those companies are not parties to these terms. We are not responsible for the tools, the data in them or whether they are available. A tool's provider may limit or end Holmes's access, and we may stop supporting a tool.

3.5 Bank accounts through Plaid. Holmes uses Plaid Inc. to connect bank and card accounts. When you connect an account through Plaid, you allow Holmes and Plaid to get information from your bank, as our Privacy Policy describes. Plaid handles your data as its End User Privacy Policy describes: https://plaid.com/legal/#end-user-privacy-policy.

3.6 Disconnecting and deletion. You can disconnect a tool at any time in Holmes, under Settings, Connections, or in the tool itself. Holmes then stops reading it. We delete what Holmes read from it as our Privacy Policy describes, and sooner if you ask us at support@holmesops.ai, unless the law requires us to keep it.

3.7 Not a consumer report. Holmes reads connected data for you, as your agent. What Holmes gives you is not a "consumer report" under the US Fair Credit Reporting Act, and Holmes is not a consumer reporting agency. Do not use Holmes to decide whether a person is eligible for credit, insurance, employment, housing or any other purpose that Act covers.

4. Messages and forms Holmes sends for you

4.1 Contacting suppliers. When you ask, Holmes can email a supplier, for example with a price request, a demo request or a question, or fill in a supplier's contact form. Nothing is sent until a member of your workspace approves it.

4.2 In your name. Holmes sends these messages in your name, marked as sent through Holmes, with you in copy. Replies come back to Holmes, which reads them and tells you.

4.3 You are the sender. You are responsible for what you send, for having a business reason to contact the supplier, and for following the laws that apply to business messages. We may limit how many messages a workspace sends each day.

4.4 Replies are not contracts. A supplier's reply is correspondence, not an accepted offer. Holmes does not accept offers, sign contracts or make commitments for you.

5. Acceptable use

You must not, and must not help or allow anyone else to:

  1. break any law, or infringe or misuse anyone's rights;
  2. put into Holmes content or data that you have no right to use or share;
  3. put into Holmes, unless we agree in writing, health information protected by HIPAA, payment card numbers, or government identity numbers such as Social Security or passport numbers (this does not apply to a key or password that a connection screen asks for, or to suppliers' tax forms and bank details that you file to pay suppliers and for tax reporting);
  4. use Holmes to send spam or unlawful messages;
  5. get around Holmes's security, permissions, limits or credits, or test Holmes's security, without our written permission;
  6. copy, scrape or bulk download Holmes's data, benchmarks or other content, or use them to build a competing product or dataset, or to train an AI model;
  7. reverse engineer or decompile Holmes, except where the law allows it despite this limit;
  8. resell, rent, sublicense or share Holmes outside your company, unless your written agreement with us allows it;
  9. upload malware, or disrupt Holmes, its providers or its users;
  10. use Holmes where a failure could cause death, injury or serious damage;
  11. use Holmes in breach of export control or sanctions laws, or from a country, or for a person, under US sanctions.

We may remove content, or suspend access, that breaks this section. We will tell you when we can.

6. AI output

6.1 How Holmes uses AI. Holmes uses AI models, including its own model and models from other providers. Our Privacy Policy lists them and what they receive.

6.2 AI output can be wrong. Answers can be incomplete, out of date or wrong, even when they cite sources. Check important facts before you rely on them, especially prices, amounts, dates and contract terms.

6.3 Estimates and opinions. Benchmarks, price ranges, should-cost estimates, savings estimates and supplier grades are estimates and opinions based on the data available to Holmes. They do not promise what a supplier will charge or how it will perform, and they are not statements of fact about any supplier. Use them inside your company. Do not publish supplier grades or present them as facts about a supplier.

6.4 Your decisions. You decide what to do with Holmes's output. You are responsible for your decisions, and for what you send to others.

6.5 Similar output. Holmes may give other customers similar answers to similar questions.

7. Fees and payment

7.1 Fees. Your fees are set in your order form, your plan or the credit pack you buy. Prices are in US dollars.

7.2 Credits. Some features use credits. Credits you buy are used up as you use those features. Credits have no cash value and cannot be transferred. We may change or end free credits at any time.

7.3 Payment. Card payments go through Stripe. We do not store full card numbers. Invoiced fees are due within 30 days of the invoice date.

7.4 Subscriptions. A subscription renews automatically for the same period, unless you cancel it before the renewal date.

7.5 Taxes. Fees do not include taxes. You pay the taxes on your purchase, except taxes on our income.

7.6 Refunds. Fees are not refundable, except where these terms, your order form or the law say otherwise.

7.7 Late payment. If fees are overdue, we may suspend paid features after telling you.

7.8 Price changes. We will give you at least 30 days' notice of a price change. It applies from your next renewal or your next purchase.

8. Your data

8.1 Your data. You keep all rights in the content you put into Holmes and in the data Holmes reads from your connected tools ("your data").

8.2 How we use your data. You allow Holmes to host, copy, process, send and display your data only to provide, secure and support Holmes for you, and as our Privacy Policy describes.

8.3 AI training. Holmes never uses your data to train, test or improve any AI model, including its own. Your data includes your questions and Holmes's answers to them, your documents, data from tools you connect and anything made from it, and Slack messages.

8.4 Personal data. Our Privacy Policy (https://www.holmesops.ai/privacy) explains how we handle personal data. If your company needs a data processing addendum (DPA), ask us at legal@holmesops.ai. Holmes is not offered to businesses in the European Economic Area, the United Kingdom or Switzerland for now, so do not put personal data covered by the EU or UK GDPR into Holmes.

8.5 Usage information. We may use information about how Holmes is used, and aggregated information that does not identify you, your company or any person, to run and improve Holmes. We never build it from data from connected tools, and we never show your data, or figures made from it, to another customer.

8.6 Feedback. If you send us ideas or feedback, we may use them freely, without paying you.

8.7 Your responsibilities. You are responsible for your data, for having the right to put it into Holmes, and for keeping your own copies of important documents.

9. Holmes's property

9.1 Holmes. Holmes, its software, models, data library, benchmarks, grades and documentation belong to Holmes AI Inc. and its licensors. While you follow these terms, we give your company a limited, non-exclusive, non-transferable right to use Holmes for its internal business purposes. We keep all other rights.

9.2 Output. You may use Holmes's output for your company's internal business purposes. Holmes keeps its rights in the market data, benchmarks and grades the output contains. Do not resell them, or publish them in bulk.

9.3 Names and logos. You may not use Holmes's names or logos without our written permission. We will not use your company's name or logo in our marketing without your permission.

10. Other services

Slack, Microsoft Teams, other AI assistants and the tools you connect are run by other companies, under their own terms. We are not responsible for them. Links to other websites are for convenience only. Product names belong to their owners.

11. Confidentiality

Each of us may share confidential information with the other: anything marked confidential, or that a reasonable person would see as confidential, including your data and our non-public product and pricing information. The party that receives it will use it only for these terms, protect it with at least reasonable care, and share it only with people and providers who need it and who are bound to protect it. This does not apply to information that is public through no fault of the receiving party, that it already had, that it lawfully got from someone else, or that it developed on its own. A party may disclose confidential information if the law requires it, after telling the other party where the law allows.

12. Security

We protect Holmes and your data as our Privacy Policy describes. You are responsible for the security of your own devices, accounts and connected tools. If we learn of a security incident that affects your data, we will tell you without undue delay and as the law requires.

13. Suspension and termination

13.1 Term. These terms apply while you use Holmes. An order form or subscription lasts for the term it states.

13.2 Ending your use. You can stop using Holmes at any time. A subscription ends at the end of its current period after you cancel it.

13.3 Suspension. We may suspend all or part of your access if fees are overdue after notice, if there is a security risk, if you break section 5, or if the law requires it. We will tell you when we can, and restore access when the problem is fixed.

13.4 Termination. Either of us may end these terms if the other materially breaks them and does not fix the breach within 30 days of notice. We may end them at once for serious or repeated breaches of section 5.

13.5 After termination. Access ends, and fees owed stay due. For 30 days you can ask us for a copy of your data. After that we delete your data as our Privacy Policy describes. Sections 6, 7 (for fees owed), 8.5, 8.6, 9, 11, 14, 15, 16, 17 and 19 continue to apply.

14. Warranties and disclaimers

14.1 Authority. Each of us confirms that it has the authority to accept these terms.

14.2 Our work. We will provide Holmes with reasonable skill and care.

14.3 Disclaimer. Except as these terms say, Holmes is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not promise that Holmes will be uninterrupted or free of errors, that its output will be accurate or complete, or that it will save you money. We are not responsible for connected tools or other services.

15. Limitation of liability

15.1 No indirect losses. Neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, savings, goodwill or data, even if told they were possible.

15.2 Cap. Each party's total liability under these terms is limited to the fees you paid Holmes in the 12 months before the event that caused the claim, or US$100 if you paid nothing.

15.3 Exceptions. These limits do not apply to your payment obligations, to your obligations under section 16, to a breach of section 5, or to liability that the law does not allow to be limited, such as liability for fraud.

16. Indemnity

You will defend Holmes against claims by third parties, and pay the resulting costs, damages and reasonable legal fees, to the extent the claim arises from: your data; a tool you connected without the right to do so; messages or payment requests sent on your instruction; or your breach of section 5. We will tell you about the claim promptly, let you control the defense, and help you at your cost.

17. Governing law and disputes

17.1 Governing law. The laws of the State of California govern these terms, without regard to their conflict-of-law rules. The Federal Arbitration Act governs section 17.3.

17.2 Talk first. Before starting a claim, a party must describe it to the other in writing, and both must try for 30 days to settle it informally.

17.3 Arbitration. If that fails, the dispute goes to binding arbitration before one arbitrator, under the Commercial Arbitration Rules of the American Arbitration Association, in San Francisco, California, or by video. Claims may be brought only individually, not as a class, group or representative action. The arbitration is confidential.

17.4 Exceptions. Either party may bring an individual claim in small claims court, or ask a court for an urgent order to protect its intellectual property or confidential information. Those court actions belong in the state and federal courts in Alameda County, California.

18. Changes to these terms

We may update these terms. We will post the new version on this page with a new "Last updated" date. If a change is material, we will tell you at least 30 days before it takes effect, by email or in Holmes. If you keep using Holmes after it takes effect, the new terms apply. If you do not agree, you can stop using Holmes before then.

19. General

19.1 Entire agreement. These terms, any order form, any DPA and the policies they refer to are the whole agreement about Holmes. If they conflict, the order form comes first, then the DPA for personal data, then these terms.

19.2 Transfer. Neither of us may transfer these terms without the other's written consent, except to a successor in a merger, an acquisition or a sale of all or most of its business, with notice.

19.3 Events beyond control. Neither of us is liable for a delay or failure caused by events beyond reasonable control, such as internet, provider or tool outages, natural disasters, war or government action. This does not excuse payment obligations.

19.4 Notices. We send notices by email to your account's or your workspace admin's address, or in Holmes. Send notices to support@holmesops.ai. Legal notices may also go by mail to the address in section 20.

19.5 Independent parties. We are independent contractors. Nothing in these terms creates a partnership, employment or agency relationship, except the limited agency in section 3.

19.6 No third-party beneficiaries. These terms are only for you and Holmes.

19.7 Severability and waiver. If part of these terms cannot be enforced, the rest stays in force. Not enforcing a right is not a waiver of it.

19.8 Export and sanctions. Each of us will follow the export control and sanctions laws that apply to it.

19.9 Electronic acceptance. Accepting these terms online, or using Holmes, counts as signing them.
